Terms & Conditions

Effective Date: November 1, 2026

These Terms & Conditions ("Terms") govern access to and use of the public website at https://spudsoftware.com (the "Site"), operated by Spud Software, Inc. ("Spud Software," "we," or "us"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Informational purpose

The Site provides general information about Spud Software, SpudERP, and our approach to business software and operational improvement. Content, illustrations, interactive business scenarios, dashboards, and descriptions are informational and may depict examples or capabilities that require configuration or implementation. They are not commitments to deliver any specific feature, integration, outcome, price, or timeline.

Separate customer agreements

Viewing the Site or submitting an inquiry does not establish a software subscription, license, consulting engagement, or other customer relationship. Any SpudERP license, implementation, support, or software partnership is governed by a separate written agreement, where applicable. If such an agreement conflicts with these website Terms regarding contracted services, the signed agreement controls those services.

Acceptable use

You agree not to misuse the Site, submit unlawful or misleading content, attempt unauthorized access, interfere with its operation or security, introduce malicious code, or use automated means in a manner that disrupts Site availability. You agree to provide accurate information when contacting us and not to use the contact form for spam or abuse.

Intellectual property

Unless otherwise indicated, the Site's text, graphics, design, software demonstrations, logos, and other materials are owned by Spud Software or used with permission and are protected by applicable intellectual property laws. You may view Site content for your internal business evaluation. You may not reproduce, redistribute, modify, or commercially exploit Site materials without authorization, except as permitted by law. Third-party names and marks remain the property of their respective owners.

Third-party services and links

The Site may refer to or link to third-party services. We are not responsible for third-party websites, content, availability, or privacy practices. Your use of third-party services may be subject to their own terms.

No warranties

The Site and its informational content are provided on an "as is" and "as available" basis, to the extent permitted by applicable law. We do not warrant that Site information will always be complete, current, uninterrupted, or error-free. Nothing on the Site replaces a specific written commitment in a signed customer agreement.

Limitation of liability

To the fullest extent permitted by applicable law, Spud Software is not liable for indirect, incidental, consequential, special, or punitive damages arising from use of or inability to use the public Site. Nothing in these Terms excludes liability that cannot lawfully be excluded. These website limitations do not supersede liability provisions in a separate signed customer agreement.

Governing law

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles, except where applicable law requires otherwise. Disputes concerning use of the Site are subject to courts of competent jurisdiction in Michigan, except where applicable law requires another forum. No mandatory arbitration provision is imposed by these Terms.

Changes

We may revise these Terms by posting an updated version with a new effective date. Continued use of the Site after the revised Terms take effect constitutes acceptance to the extent permitted by law.
